These Terms of Use ("Terms") govern your access to and use of the BoomReach website at https://boomreach.io (the "Site"). By accessing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms cover use of the Site itself. The terms governing our lead-generation service are set out in our Master Service Agreement (MSA), which is incorporated into your contractor relationship when you accept a pilot or subscription.

1. Eligibility

You must be 18 years or older to use this Site. By using the Site, you represent that you meet this requirement and have the legal capacity to enter into binding agreements.

2. Permitted use

You may use the Site for lawful purposes consistent with these Terms. You may not:

• Scrape, harvest or otherwise extract content using automated means without our prior written consent
• Use the Site to send unsolicited communications, advertising or spam
• Attempt to gain unauthorised access to the Site, our systems, or any user account
• Interfere with or disrupt the operation of the Site or its associated services
• Misrepresent your identity or affiliation with any person or organisation
• Use the Site in any manner that violates applicable law

3. Intellectual property

All content on the Site — including text, graphics, logos, code, images and trademarks — is owned by or licensed to BoomReach and is protected by copyright, trademark and other intellectual property laws. You may not reproduce, modify, distribute or create derivative works without our prior written consent, except for incidental personal viewing.

The BoomReach name and logo are trademarks of BoomReach. Other trademarks mentioned on the Site are the property of their respective owners.

4. Submissions and feedback

If you submit ideas, feedback, suggestions or other content through the Site, you grant BoomReach a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify and incorporate that submission into our products and services without compensation. You represent that you have the right to provide any content you submit.

5. Third-party links and services

The Site may contain links to third-party websites, products or services (including our payment processor, scheduling provider, and analytics tools). We do not endorse or assume responsibility for the content, privacy practices or terms of any third party. Use of third-party services is governed by their own terms.

6. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability. We do not warrant that the Site will be error-free or that defects will be corrected.

Specific service guarantees (including the BoomReach pilot money-back guarantee and lead-quality replacement policy) are set out in the Master Service Agreement, not in these Terms.

7. Limitation of liability

To the maximum extent permitted by law, BoomReach and its officers, employees, agents and suppliers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising from your use of the Site, including loss of profits, revenue, data or business opportunities, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising from these Terms or use of the Site shall not exceed the greater of one hundred US dollars ($100) or the amount you have paid us for services in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless BoomReach from any claim, liability, damage, loss or expense (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms or your violation of any law or third-party right.

9. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

10. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Wyoming, and you consent to the exclusive jurisdiction of those courts.

11. Changes to these Terms

We may modify these Terms at any time. The updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site after changes constitutes acceptance of the updated Terms.
