Master Service Agreement
This Master Service Agreement ("Agreement") governs the lead-generation services provided by BoomReach ("BoomReach", "we", "us") to the business identified on the applicable order form ("Customer", "you"). By accepting a pilot or subscription, you agree to this Agreement.
1. Services
BoomReach will source, qualify and deliver exclusive roofing leads to Customer through paid traffic, intake forms, and qualifying calls, in accordance with the order form (Pilot, Subscription, or Overage tier) and these terms.
1.1 Lead definition
A "Lead" means a homeowner or commercial property decision-maker who:
- Has submitted a qualifying intake form on a BoomReach landing page
- Has completed a BoomReach-conducted qualifying call
- Has confirmed interest in a roofing project that matches Customer's selected verticals and service area
- Has been verified at a real property address
- Has provided express written consent to be contacted by a participating contractor
1.2 Exclusivity
Each Lead is delivered exclusively to Customer. BoomReach will not sell, resell, transfer or otherwise provide the same Lead to any other contractor or third party, in perpetuity. If BoomReach breaches this exclusivity, the Lead is refunded in full plus a free replacement.
1.3 Callback SLA
BoomReach targets a median three-minute callback to the homeowner from form submission, measured across all Leads delivered to Customer. The SLA is not a per-Lead guarantee but a service-level target.
2. Tiers
2.1 Pilot
A one-time payment of two hundred ninety-nine US dollars ($299) entitles Customer to five (5) Leads delivered within seven to ten (7–10) business days. The Pilot is fully refundable if delivered Leads do not meet the quality definition in Section 1.1, as flagged by Customer within seven (7) days of the last Lead delivered.
2.2 Subscription
A monthly subscription at one thousand nine hundred ninety-nine US dollars ($1,999) per calendar month entitles Customer to twenty (20) Leads per month at an effective rate of $99.95 per Lead. Subscription is month-to-month with no minimum term. Customer may cancel at any time, effective at the end of the then-current billing cycle.
If BoomReach fails to deliver twenty Leads in a calendar month, BoomReach will extend the billing month by one week to complete delivery. If, after the extension, BoomReach still has not delivered the full twenty, the undelivered portion will be credited pro-rata to the following month or refunded on Customer's request.
2.3 Overage
Leads beyond the monthly subscription cap may be delivered at ninety-nine US dollars ($99) per Lead, subject to Customer's overage opt-in and any monthly cap Customer has elected. No overage Lead will be delivered without Customer's express opt-in.
3. Quality guarantee and replacement
Customer may flag any delivered Lead within forty-eight (48) hours of delivery if it fails to meet the Lead definition in Section 1.1. Common reasons include:
- Wrong or non-working phone number
- Not a homeowner or authorised decision-maker
- Outside Customer's selected service area
- Duplicate of a previously delivered Lead
- No real roofing project
Flagged and validated Leads will be replaced free of charge under the Subscription and Overage tiers. Under the Pilot, validated flags trigger the money-back guarantee.
4. Use of Lead information
4.1 Customer obligations
Customer agrees to use Lead contact information solely to contact the homeowner about the specific roofing project disclosed during qualification, and to:
- Comply with the Telephone Consumer Protection Act (TCPA), state mini-TCPA laws, the Do Not Call Registry, CAN-SPAM, and all applicable communication laws
- Honour any subsequent opt-out request from the homeowner
- Not resell, transfer or share Lead information with any third party
- Not use Lead information for any purpose unrelated to the specific roofing project
- Maintain reasonable security and confidentiality of Lead information
4.2 Indemnity
Customer agrees to indemnify and hold harmless BoomReach against any claim arising from Customer's violation of Section 4.1, including TCPA claims arising from Customer's communications with delivered Leads.
5. Payment and billing
Pilot fees are due upon order acceptance. Subscription fees are billed monthly in advance via card or ACH. Overage charges are billed monthly in arrears. Late payments over fifteen (15) days accrue interest at the lesser of 1.5% per month or the maximum legal rate.
Refunds under the Pilot are issued to the original payment method within ten (10) business days of validation. Replacement Leads under the Subscription or Overage tiers do not entitle Customer to a cash refund.
6. Term and termination
The Pilot is a one-time engagement. The Subscription continues month-to-month until cancelled by either party. Either party may terminate with thirty (30) days' written notice; cancellation by Customer takes effect at the end of the then-current billing cycle, and Customer is entitled to receive any Leads already paid for.
BoomReach may terminate immediately for Customer's material breach (including Section 4.1) or non-payment after fifteen (15) days' notice.
7. Warranties and disclaimers
BoomReach warrants that delivered Leads will meet the definition in Section 1.1, subject to the replacement and refund remedies above. BoomReach makes no other warranty, express or implied, including any warranty of conversion rate, sales outcome, or specific volume per zip code beyond the subscription cap. Customer's close rate depends on Customer's sales process, which is outside BoomReach's control.
8. Limitation of liability
To the maximum extent permitted by law, neither party shall be liable for indirect, consequential, special or punitive damages arising from this Agreement. BoomReach's aggregate liability shall not exceed the fees paid by Customer in the six (6) months preceding the claim. The remedies in Sections 2 and 3 are Customer's exclusive remedies for service-quality claims.
9. Confidentiality
Each party agrees to keep the other party's non-public business information confidential and to use it only as needed to perform under this Agreement.
10. Governing law and disputes
This Agreement is governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Disputes shall be resolved exclusively in the state or federal courts located in Wyoming. Each party consents to that jurisdiction and waives any objection based on forum non conveniens.
11. Miscellaneous
This Agreement (together with the order form) is the entire agreement between the parties. It may be amended only in writing signed by both parties. If any provision is held unenforceable, the rest remains in effect. Neither party may assign without the other's written consent, except in connection with a merger or sale of substantially all assets.
